The following is a legal agreement between you (“user”) and Post Pro Tools (“Company”), which governs your use of Products (defined below) obtained by purchase through this website(“Site”) at https://www.postprotools.com, or any related domains or sub-domains. In these Terms, use of the words “you”, and “your” refer to each individual user who may interact with this site, and “we”, “us” “our” and “Company” refer to Post Pro Tools.

“Products” referred to by these Terms include, but are not limited to: Photoshop extension panel and all software related tools, Images in any file format, Tutorials, and any other documents provided for paid purchase or for which you supply personal information in exchange, including free downloaded material or other information available through the Site, obtained from Post Pro Tools. All such Products are the intellectual property of and are owned by Post Pro Tools. By purchasing any Product, you agree to be bound by these Terms, without any other conditions or declarations.

YOU MAY:

So long as you comply with these Terms, Post Pro Tools grants you a non-exclusive, non-transferable license to download, view, copy and use our Products for personal use or limited professional use.

The Products may only be installed on upto 4 computers directly owned by the purchaser. The images enhanced with our Products may only be used for personal or professional projects.

Your employee’s may use the Products on any of the three computers you own, for the purpose of your business as long as they do not make personal copies. Please contact us for educational or multiple computer lab setup prices.

YOU MAY NOT:

You are not allowed to Modify, Share, Sell, Transfer, Copy or Gift the right to use our Products to anyone else(including your friends). This includes both purchased and free products.

These Products should, under no circumstance, be posted or uploaded to the Internet. Posting a link for others to download Post Pro Tools products is a felony.

You do not gain ownership, nor can you claim any product as your own.

LOSS/DAMAGE OF FILES

It is expected that the user will back up his/her downloaded Products on an external storage device. Post Pro Tools is not responsible for lost files for any reason, but we may be willing to re-issue the product, if it is not discontinued, and once a valid purchase receipt has been provided.

Post Pro Tools is however not liable for any loss or damage to Products that occur after download or any customer’s inadvertent or mistaken download of a Product or free download, that the customer did not intend to purchase or download. Post Pro Tools will not reimburse you for such downloads.

RETURN/REFUND POLICY

You acknowledge that all Products and materials are non-refundable and not returnable, under any circumstances. Due to intangible nature of our Products and Services, ALL SALES ARE FINAL.

Please note that since we offer digital Products, there is no way to return the files that you’ve already downloaded. Before purchasing a Product through our website, you as a customer, are responsible to be aware of our Refund Policy and understand that there is no obligation to provide a refund or credit.

DELIVERY OF GOODS AND SERVICES

If you do not receive the digital Product link upon purchasing, you can immediately contact us with your purchase order/personal details to ensure your Product is delivered as soon as possible.

In case there is a technical problem with accessing the product, an investigation will be launched into your purchase order and we will help you to resolve the matter.

PERSONAL INFORMATION

By using the Site and entering personal information, you give Post Pro Tools permission to contact you via email, or by any other method for which you include contact information to provide you with information regarding offers, updates, new Products and services or changes to the terms of the privacy policy. Should you prefer not to be contacted by e-mail, an unsubscribe link is provided at the bottom of our newsletter.

SITE REGISTRATION

When you register with this Site, you expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products or services, or other records or correspondence from Post Pro Tools. You consent to receive notices electronically by way of transmitting the notice to you by email.

SITE TRANSACTIONS

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel products purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by competitors, dealers, resellers or distributors.

MODIFICATIONS TO THE SERVICE AND PRICES

You acknowledge that the prices or discounts for our Products are subject to change without notice. We reserve the right at any time to modify or discontinue the Product or Service without notice at any time.

RIGHT TO CHANGE SITE

We reserve the right, at any time in our sole discretion, to: modify, suspend or discontinue the Site or any service, content, feature or product offered through the Site, with or without notice; charge fees in connection with the use of the Site; modify and/or waive any fees charged in connection with the Site; and/or offer opportunities to some or all users of the Site. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuation of the Site, or any service, content, feature or product offered through the Site.

ERRORS, INACCURACIES, AND OMISSIONS

In the rare case if our Site contains any typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, and availability, we reserve the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your order).

INTELLECTUAL PROPERTY LICENSE

Post Pro Tools owns all intellectual property rights in (a) all text, logo, images, headers, trademarks, service marks, design elements, and all other protected elements on the Site (except those licensed from others); (b) any Products and portions therefore; (c) all things otherwise provided to you as a part of Post Pro Tools services (“Intellectual Property”). Post Pro Tools does not grant you any rights to any Intellectual Property contained within the Products or as may be available to you generally through the Site.You agree not to make unauthorized use of or otherwise infringe upon Post Pro Tools Intellectual Property in anyway, and understand that it is your responsibility to ensure you refrain from doing so.

User is not entitled to reverse-engineer, disassemble or decompile any Post Pro Tools product or in any other way attempt to investigate, tamper with and/or discover the source code and/or the structural framework and/or the principles on which the Post Pro Tools products are based.

Post Pro Tools will take whatever legal action is necessary to protect its Intellectual Property in the event of such infringement and asks that you carefully manage your use of the Products, and any other downloaded materials or services to ensure compliance with these Terms.

FREE LIFETIME UPDATES

Certain Post Pro Tools products offer free lifetime updates. Updates will be freely available when released during the entire lifecycle  of that particular Post Pro Tools product/plugin. We reserve the right to terminate lifetime free updates if any Post Pro Tools product/plugin is discontinued or incompatible with future version of its host software. New updates will no longer be available for incompatible versions of the host software. ‘Updates’ under no circumstances mean an ‘Upgrade’. Users are not entitled to any kind of free upgrade to a similar version of any Post Pro Tools product.

ANNUAL MAINTENANCE AND SUPPORT

When you purchase a Product from this Site, you are eligible for 180 days of Technical Support and Account Privileges on this Site from the date of purchase.

You acknowledge that once the 180 days have expired, you will be required to purchase an annual subscription to continue receiving any Technical Assistance or Account Privileges.

RECURRING FEES

You acknowledge that once you choose to purchase a Support extension after the initial 180 days of Support has expired, a recurring Subscription fee for Annual Maintenance and Support will be charged annually.

STOCK/ROYALTY FREE MEDIA

Stock images, video and audio may be used on the Site. All stock media content are being used under license through the company providing them.

NO WARRANTIES

Products are provided “AS IS”. Post Pro Tools makes no warranty, explicit or implied, that the Site, Products or services will be accurate and reliable in all instances. Under no circumstances shall Post Pro Tools be liable for any incidental, special, or consequential damages that result from the use of or the inability to use our products or its related documentation, even if Post Pro Tools has been advised of the possibility of such damages.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless Post Pro Tools and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SEVERABILITY

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Product and Services, or when you cease using our Site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SERVICE DISRUPTION

POST PRO TOOLS SHALL NOT BE RESPONSIBLE FOR ANY PERFORMANCE OR SERVICE PROBLEMS CAUSED BY ANY THIRD PARTY WEBSITE OR THIRD PARTY SERVICE PROVIDER (including, for example, any web service provider service, Stripe or PayPal payment services, your software and/or any updates or upgrades to that software). ANY SUCH PROBLEM SHALL BE GOVERNED SOLELY BY THE AGREEMENT BETWEEN YOU AND THAT PROVIDER. THE COMPANY RESERVES THE RIGHT TO DETERMINE, IN ITS SOLE DISCRETION, WHETHER THE COMPANY IS RESPONSIBLE FOR ANY SUCH MALFUNCTION OR DISRUPTION. THE COMPANY ALSO RESERVES THE RIGHT TO LIMIT YOUR USE OF THE SITE AND/OR THE CONTENT OR TO TERMINATE YOUR ACCOUNT SHOULD THE COMPANY DETERMINE THAT YOU HAVE VIOLATED THESE TERMS OF USE, OR THAT YOU HAVE VIOLATED ANY OTHER RULES OR CONDITIONS OF THE COMPANY. THE COMPANY RESERVES THE RIGHT TO REFUSE ACCESS TO THE SITE AND/OR THE COMPANY’S CONTENT, PRODUCTS AND/OR SERVICES TO ANYONE IN ITS SOLE DISCRETION. THE COMPANY RESERVES THE RIGHT TO DETERMINE, IN ITS SOLE DISCRETION, WHETHER THE COMPANY IS RESPONSIBLE FOR ANY SUCH MALFUNCTION OR DISRUPTION.

ENTIRE AGREEMENT

The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms and any policies or operating rules posted by us on this site or in respect to the Product or Service constitutes the entire agreement and understanding between you and us and govern your use of the Product/Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms). Any ambiguities in the interpretation of these Terms and Conditions shall not be construed against the drafting party.

GOVERNING LAW

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of AB, Canada.
